Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") are an agreement between you ("Customer") and ProbityGRC ("Company," "we," "us"), governing your use of the Probity platform ("Service"). By creating an account or using the Service, you agree to these Terms. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization.

We may update these Terms from time to time. Material changes will be communicated at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance.

2. Description of Service

ProbityGRC is a cloud-based SaaS platform that helps organizations manage governance, risk, and compliance activities. The Service is provided on a subscription basis and accessed through a web browser. We may update features and functionality from time to time.

3. Account Registration

You must register with accurate information and are responsible for maintaining the security of your account credentials. You are responsible for all activity under your account and must notify us at legal@probitygrc.com if you suspect unauthorized access.

4. Subscription and Payment

Fees are billed in advance on a monthly or annual basis. Unless cancelled before the end of the billing period, subscriptions auto-renew at the then-current rate. If payment is overdue, we may suspend access until the balance is settled. Refunds are not provided for partial billing periods unless required by law.

5. Acceptable Use

You may use the Service for your internal business purposes in accordance with these Terms and applicable laws. You agree not to reverse engineer, resell, or redistribute the Service, use it to store or transmit unlawful or harmful content, or interfere with its operation.

6. Intellectual Property

The Service and all associated content remain the exclusive property of ProbityGRC and its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Service during your subscription.

7. Data Ownership

You retain ownership of all data you upload to the Service ("Customer Data"). We will not access Customer Data except as needed to provide the Service or comply with law. Upon termination, you may export your data for 30 days. After that period, we may delete it.

8. Confidentiality

Each party agrees to keep the other party's confidential information private and not disclose it to third parties except as needed to perform obligations under these Terms.

9. Service Availability

We use commercially reasonable efforts to keep the Service available and will communicate scheduled maintenance in advance.

10. Limitation of Liability

To the maximum extent permitted by law, ProbityGRC shall not be liable for any indirect, incidental, special, or consequential damages. Our total liability for any claims shall not exceed the fees you paid in the 12 months preceding the claim.

11. Termination

Either party may terminate by providing written notice before the end of the current subscription term. We may suspend access immediately for material breach or non-payment. Upon termination, your access ceases and Customer Data will be available for export as described in Section 7.

12. Governing Law

These Terms are governed by the laws of India. Both parties agree to attempt good-faith resolution of disputes before pursuing formal proceedings.
